AFFILIATE PROGRAM TERMS AND CONDITIONS
This agreement describes the Terms and Conditions for participation in the SMIB Affiliate Program. In this agreement, the term "Affiliate" refers to you (the applicant). In this agreement, “SMIB” refers to SMIB Singapore Pte Ltd, with whom you are entering this agreement. By applying to the SMiB Affiliate Program you are confirming that you have read the agreement and agree to the Terms and Conditions.
Neither these Terms and Conditions nor your participation in the Affiliate Program creates any employment, independent contractor, agency, partnership, or joint venture relationship between you and SMIB.
ELIGIBILITY
Affiliates must be at least 18 years old in order to participate in the Affiliate Program. SMIB reserves the right, in its sole discretion, to accept or reject any application for membership in the Affiliate Program for any reason.
PAYMENT
An Affiliate can request a payment by email thomas@smib.com.sg when their balance reaches a minimum balance of SGD $100. Payments can be requested at any time. Payment processing can take up to 3-7 business days from the request date. Payments will generally be paid out via Paynow or Bank Transfer to Affiliates.
REFUNDS
In the event a customer requests a refund for a transaction for which the Affiliate has earned commissions, any commissions earned on the refund amount will be deducted from the Affiliate’s balance.
USAGE AND OBLIGATIONS
Affiliates are permitted to use the SMIB brand and marketing resources available in the Affiliates section of our application. Logos and other assets cannot be modified. The Affiliate does not gain any trademark, copyright or any other rights to these materials.
The Affiliate will never imply that they are acting on behalf of SMIB. The Affiliate will never bid for advertisements that compete with SMIB.
The Affiliate will never represent themselves, SMIB or their relationship with SMiB in a false or misleading way.
The Affiliate will not engage in the distribution of an unsolicited bulk email (spam) mentioning or referencing SMIB.
The Affiliate need to adhere to SMIB distributive rights and online price.
The Affiliate are not allowed to market or advertise the price lower than our price at our official SMIB website www.smib.com.sg
The Affiliate are not permitted to post a discount or cashback offer.
TERM AND TERMINATION
Either party has the right to terminate the agreement immediately without prior notice. SMIB reserves the right to terminate the contract for any breach of the terms and conditions. SMIB has the right to claim back any losses incurred.
If the Affiliate terminates the agreement, no further commissions from SMIB will be paid for any future customer transactions. If the Affiliate has a balance owed to them on the date of termination, SMIB will send payment of the remaining amount owed within 14 business days of the termination of the agreement.
GOVERNING LAW
This Agreement shall be governed, construed, and enforced in accordance with the laws of Singapore, without regard to its conflict of laws rules.
ARBITRATION
All claims and disputes arising under or relating to this Agreement are to be settled by binding arbitration in Singapore. An award of arbitration may be confirmed in a court of competent jurisdiction.
MODIFICATION
We may modify any of the Terms and Conditions within this Agreement at any time and at our sole discretion. These modifications may include, but not limited to changes in the scope of available commissions, commission schedules, payment procedures and Affiliate Program rules.
